My General Terms and Conditions (GTC) for Freelance Branding & Web Design Services

1. Scope

These General Terms and Conditions apply to all contracts, offers, services, and deliveries between Lisa Eberle (hereinafter referred to as "Designer") and the client, unless otherwise expressly agreed in writing.

2. Subject of the Agreement

The Designer provides services in the areas of branding, corporate identity, web design, UI/UX design, and the development of visual and digital communication tools. The specific services to be delivered will be outlined in a written agreement or proposal.

3. Offer and Conclusion of Contract

All offers are non-binding and subject to change. A contract is deemed concluded upon written confirmation or commencement of the services by the Designer.

4. Scope of Services

The scope of services is defined in the project agreement or offer. Any additional services or change requests made after the project has started must be agreed upon separately and may incur additional charges.

5. Client Obligations

The client agrees to provide all necessary content, data, and materials in a timely and complete manner. Delays caused by the client’s failure to cooperate may result in an adjusted timeline.

6. Fees and Payment Terms

Fees are calculated based on a flat rate, daily rate, or hourly rate, as agreed. All prices are subject to applicable VAT.
Unless otherwise agreed, 50% of the total project fee is due upon signing the contract, and the remaining 50% upon final delivery. Invoices must be paid within 14 days of receipt without deduction.

7. Usage Rights

Upon full payment, the client receives a non-transferable, non-exclusive license to use the final design deliverables. Source files or working documents will only be provided upon request and may be subject to additional fees. The Designer retains all copyrights.

8. Reference Use

The Designer may use the completed project, including the client’s name and logo, for self-promotion purposes (e.g., website, social media, portfolio), unless otherwise agreed in writing.

9. Liability

The Designer is only liable for damages caused by gross negligence or intent. The Designer accepts no liability for materials, content, or trademarks supplied by the client.

10. Termination

Either party may terminate the contract for cause at any time. In case of early termination, the Designer is entitled to compensation for all work performed up to the termination date.

11. Final Provisions

These terms are governed by the laws of the Federal Republic of Germany. The place of jurisdiction is the Designer's registered business location, unless otherwise required by law.
If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall remain unaffected.
